1. Acceptance of Terms

Agent Base LLC ("Agent Base," "we," "us," or "our") provides its Service (as defined below) to you through its website located at https://agentbase.io (the "Site"), subject to this Terms of Service agreement ("TOS"). By accepting this TOS or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this TOS.

2. Description of Service

The "Service" includes (a) the Site, (b) Agent Base's application programming interfaces (APIs), (c) Agent Base's communication services, including email, text, and phone call services, and (d) all software, data, text, images, sounds, videos, and other content made available through the Site or Services (collectively, "Content"). Any new features added to or augmenting the Service are also subject to this TOS.

3. General Conditions/Access and Use of the Service

Subject to the terms and conditions of this TOS, you may access and use the Service only for lawful purposes. All rights, title, and interest in and to the Service and its components will remain with and belong exclusively to Agent Base.4. Payment Terms

a. Monthly Fees: You will pay a monthly fee for access to the Service. The amount of the monthly fee will be communicated to you at the time of your subscription and may be subject to change as notified by Agent Base

b. Usage-Based Charges:

In addition to the monthly fee, you will incur charges based on your use of the Service, specifically relating to the number of emails, texts, or phone calls you make each month. Usage rates will be specified in your Service dashboard.

5. Cancellation and Termination

You are solely responsible for properly canceling your account. Account cancellation requests must be submitted through the Service interface or via Agent Base customer support.

6. Modifications to Terms of Service and Other Policies

Agent Base reserves the right to modify or replace any of the terms or conditions of this TOS at any time.

7. Disclaimer of Warranties

The Service, including the Site and Content, and all server and network components, are provided on an “as is” and “as available” basis without any warranties of any kind, and Agent Base expressly disclaims any and all warranties.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Agent Base shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

9. Governing Law

This TOS and the relationship between you and Agent Base shall be governed by the laws of Connecticut, USA without regard to its conflict of law provisions.
